Terms of Service

These Terms of Service ("Terms") apply to the agreement entered into between the Customer ("you") and Karada Inc. ("we", "us", "Service Provider") for the use of the Karada platform and related services.
1. Acceptance of Terms
By accessing, browsing, or using the Karada platform, including deploying Model Context Protocol (MCP) servers, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
2. Free & Beta Services
2.1 Generally. We may offer certain Services to you at no charge, including free accounts, trial usage, and beta versions ("Free Services"). Your use of Free Services is subject to any additional terms that we specify and is only permitted for the period designated by us.
2.2 No Warranty. FREE SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY. KARADA DISCLAIMS ALL WARRANTIES AND OBLIGATIONS WITH RESPECT TO FREE SERVICES, INCLUDING SUPPORT, MAINTENANCE, AVAILABILITY, AND SECURITY.
2.3 Termination. We may terminate your right to use Free Services at any time and for any reason in our sole discretion, without liability to you.
3. Subscription Grant & Right to Use
3.1 Grant. Subject to the terms and conditions of this Agreement and your payment of applicable fees, Karada grants you a non-exclusive, non-transferable, revocable right to access and use the Karada platform to deploy, manage, and scale MCP servers for your internal business purposes.
3.2 Restrictions. You shall not: (a) reverse engineer, decompile, or disassemble the platform; (b) copy, modify, or create derivative works based on the platform; (c) use the platform to build a competitive product or service; (d) use the platform for any illegal purpose or in violation of any local, state, national, or international law; or (e) transmit any malicious code, viruses, or harmful data.
4. Payment
4.1 Fees. You agree to pay all fees in accordance with the pricing plan you select. Fees are non-refundable unless otherwise required by law.
4.2 Changes to Fees. We reserve the right to change our fees or introduce new fees at any time. We will provide you with advance notice of any material changes to the fees.
4.3 Billing. If you subscribe to a paid plan, you will provide valid payment information. usage that exceeds the limits of your plan may incur overage charges as described on our pricing page.
5. Hosting & Service Level
5.1 Hosting. The Service is hosted by Karada and its third-party providers (e.g., Google Cloud Platform). We use commercially reasonable efforts to maintain the security and availability of the Service.
5.2 Availability. We aim for high availability but do not guarantee 100% uptime. We reserve the right to suspend the Service for scheduled maintenance, updates, or in the event of a security threat.
6. Ownership
6.1 Customer Data. You retain all right, title, and interest in and to your code, data, and the specific MCP servers you deploy ("Customer Data"). You grant Karada a limited license to host, copy, transmit, and display your Customer Data solely as necessary to provide the Service.
6.2 Karada IP. Karada retains all right, title, and interest in and to the Karada platform, including its software, designs, logos, and documentation.
7. Confidentiality
Each party agrees to protect the other party's Confidential Information from unauthorized use, access, or disclosure in the same manner as it protects its own Confidential Information of a similar nature, but in no event with less than reasonable care. "Confidential Information" means all information designated as confidential or which reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
8. Customer Obligations
8.1 Security. You are responsible for maintaining the confidentiality of your account credentials and API keys. You agree to notify us immediately of any unauthorized use of your account.
8.2 Content Safety. You are solely responsible for the code, data, and content you deploy or transmit through the Service. You agree not to deploy any MCP servers or content that contains viruses, malware, or other harmful components.
8.3 AI Safety. You agree not to use the Service in connection with any Artificial Intelligence model to generate or disseminate content that is illegal, harmful, threatening, or violates the rights of others.
9. Feedback
We welcome your feedback, ideas, and suggestions for improvements ("Feedback"). By submitting Feedback, you grant us the right to use, modify, and distribute your Feedback without any restriction or compensation to you.
10. Indemnification
You agree to defend, indemnify, and hold harmless Karada and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party right.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KARADA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. IN NO EVENT SHALL KARADA'S AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID KARADA IN THE PAST TWELVE MONTHS.
12. Term and Termination
12.1 Term. These Terms remain in effect while you use the Service.
12.2 Termination. You may terminate your account at any time. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
12.3 Effect of Termination. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination.
13. General
13.1 Suspension. We may suspend your access to the Service if we reasonably believe: (a) your use of the Service disrupts or poses a security risk to the Service or to any other customer; (b) you are using the Service for fraudulent or illegal activities; or (c) you have failed to pay fees.
13.2 Force Majeure. Neither party will be liable for any failure or delay in performance under these Terms (except for payment obligations) due to causes beyond its reasonable control, including but not limited to acts of God, war, strikes, or internet service provider failures.
13.3 Governing Law. These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located within Gujarat, India, to resolve any legal matter arising from these Terms.
13.4 Entire Agreement. These Terms constitute the entire agreement between you and Karada regarding the Service and supersede all prior agreements.
